1. Overview

Welcome to VP Designs. Our website, www.vpdesignworks.com, is operated by VP Designs, LLC.

Throughout these Terms of Service, the terms "VP Designs," "we," "us," and "our" refer to VP Designs, LLC.

By accessing our website or purchasing products through our online store, you agree to these Terms of Service and the policies referenced herein.

Our online store is powered by Shopify, which provides the ecommerce platform used to offer our products and process transactions.

2. Products and Services

VP Designs provides specialty merchandise and related services for marching bands, color guards, performing arts organizations, schools, and individual performers.

Products may include footwear, flags, equipment, accessories, uniforms, and other performance-related merchandise.

We also provide or arrange design, consulting, and specialized project services. Such services may be governed by separate proposals, agreements, statements of work, or other written terms.

Where a separately executed agreement conflicts with these Terms of Service, that agreement will govern the services or products specifically covered by it.

3. Product Information and Availability

We make reasonable efforts to display accurate product descriptions, specifications, colors, sizes, pricing, and availability.

Product photographs and screen displays may not precisely reproduce actual colors or materials.

Certain merchandise is supplied and fulfilled by independent manufacturers or distributors. Inventory availability may change without advance notice.

We reserve the right to correct errors, update product information, discontinue products, and decline or cancel orders when reasonably necessary, subject to applicable law.

If an order cannot be fulfilled, we will notify the customer and provide an appropriate refund for merchandise that will not be supplied.

4. Orders and Acceptance

Submitting an order constitutes an offer to purchase the selected merchandise.

An automated order confirmation acknowledges receipt of the order but does not necessarily establish final acceptance.

Orders may be subject to payment verification, inventory confirmation, supplier availability, and fraud screening.

If an order is declined or canceled after payment, any amount collected for canceled merchandise will be refunded in accordance with applicable law.

5. Pricing and Payment

Prices are displayed in U.S. dollars unless otherwise indicated.

Applicable taxes, shipping charges, and other disclosed fees are calculated during checkout.

Payment must be completed through an accepted payment method or under separately approved written payment arrangements.

We reserve the right to correct genuine pricing errors, including by notifying the customer and offering an opportunity to accept the corrected price or cancel the affected order.

6. Shipping and Delivery

Many products are shipped directly from specialty suppliers rather than a VP Designs warehouse.

Shipping costs, fulfillment methods, and delivery estimates may vary by supplier, merchandise, destination, and order quantity.

Orders containing products from different suppliers may arrive in separate shipments.

We will communicate material fulfillment delays and provide applicable cancellation or refund options as required by law.

7. Returns, Exchanges, and Refunds

Returns and exchanges are governed by our published Returns & Refunds Policy.

Certain products, including customized merchandise, made-to-order products, and identified final-sale items, may be ineligible for ordinary returns.

Supplier-specific restocking fees and other applicable conditions will be disclosed as required.

Nothing in these Terms limits rights or remedies that cannot lawfully be waived.

8. Custom and Group Orders

Custom merchandise, special-order products, and large ensemble purchases may require additional specifications, approvals, production schedules, or written quotations.

Customers are responsible for reviewing and approving submitted information, including sizes, quantities, colors, artwork, and other specifications.

Cancellation, revision, and return terms for custom or specially quoted orders will be communicated before the customer becomes bound by those terms.

9. Intellectual Property

Unless otherwise indicated, the VP Designs name, branding, original website content, and original creative materials are owned by VP Designs or used with appropriate authorization.

Third-party trademarks, product images, and other proprietary materials remain the property of their respective owners.

Purchasing merchandise does not transfer intellectual property rights in the associated designs or branding.

Custom design projects may have separate licensing, ownership, and permitted-use provisions established in their written agreements.

Customers who submit artwork or other materials represent that they have the rights necessary to authorize the requested use.

10. Acceptable Website Use

Customers agree not to use the website for unlawful activities, fraudulent transactions, unauthorized access, or infringement of another party's rights.

We may restrict access or decline transactions where reasonably necessary to protect the business, customers, or website, subject to applicable law.

11. Third-Party Services

Our website uses Shopify and may integrate third-party payment, shipping, fulfillment, analytics, and other services.

Some services may be subject to additional terms and privacy practices established by their providers.

12. Warranties and Product Concerns

Products may be covered by applicable manufacturer warranties or statutory protections.

Customers should promptly contact VP Designs regarding damaged, defective, or incorrectly supplied merchandise so we can assist in coordinating an appropriate resolution.

Except as prohibited by law, we do not provide warranties beyond those expressly stated in writing.

13. Limitation of Liability

To the maximum extent permitted by applicable law, VP Designs will not be liable for indirect, incidental, special, or consequential damages arising from use of the website or purchase of products.

Nothing in these Terms excludes liability or remedies that cannot lawfully be excluded or limited.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where mandatory consumer-protection laws provide otherwise.

15. Changes to These Terms

We may revise these Terms from time to time.

Updated Terms will be posted on our website with a revised effective date. Changes will not retroactively alter completed transactions where prohibited by law.
